1. Definitions

In these Terms and Conditions:

  • "We," "Us," "Our" refers to Tradivex, a legal advisory firm operating in Bangkok, Thailand
  • "Client," "You," "Your" refers to the individual or entity engaging our services
  • "Services" means the international trade legal advisory services we provide
  • "Agreement" refers to the engagement letter or service agreement between us and the Client
  • "Website" means our online presence accessible at our domain

2. Acceptance of Terms

By engaging our services, accessing our website, or communicating with us regarding legal matters, you agree to be bound by these Terms and Conditions. If you do not agree with any provision, please do not engage our services.

These terms form a binding legal agreement between you and Tradivex. Formal engagement for specific legal services will be governed by a separate engagement letter incorporating these general terms.

3. Capacity and Authority

You represent and warrant that:

  • You have legal capacity to enter into this agreement
  • You are at least 20 years of age (Thai legal age of majority)
  • If representing an entity, you have authority to bind that entity
  • All information provided to us is accurate and complete

4. Scope of Services

4.1 Legal Advisory Services

We provide legal advisory services focused on international trade and commerce law, including:

  • Import-export regulatory compliance guidance
  • International sales contract structuring
  • Trade dispute resolution representation
  • Customs law advisory
  • Related international commerce legal matters

4.2 Service Limitations

Unless specifically agreed in writing, our services do not include:

  • Tax planning or accounting advice
  • Business strategy consulting
  • Foreign law opinions (except through coordinated counsel)
  • Customs brokerage or logistics services
  • Translation services beyond legal documents

4.3 Engagement Terms

Each matter will be governed by a specific engagement letter outlining scope, fees, and deliverables. Work commences only upon signed engagement letter and receipt of required retainer if applicable.

5. Client Responsibilities

You agree to:

  • Provide complete and accurate information relevant to your matter
  • Respond promptly to requests for information or documentation
  • Notify us immediately of any material changes affecting your matter
  • Follow our advice or inform us if choosing a different course of action
  • Pay fees and expenses as agreed in the engagement letter
  • Maintain confidentiality of our legal advice
  • Comply with all applicable laws and regulations

6. Fees and Payment Terms

6.1 Fee Structure

Fees are charged based on:

  • Project-based fixed fees for defined scope matters
  • Hourly billing for extended representation or open-ended matters
  • Combination of fixed and hourly as specified in engagement letter

6.2 Currency and Payment

All fees are stated in Thai Baht (THB) unless otherwise specified. Payment is due within 30 days of invoice date. We accept:

  • Bank transfer (preferred method)
  • Check payment to our business account
  • Credit card (service fee may apply)

6.3 Expenses

In addition to fees, you are responsible for reasonable expenses including:

  • Filing fees and government charges
  • Courier and express delivery costs
  • Travel expenses when required for your matter
  • Expert witness or consultant fees
  • Translation costs for foreign language documents

6.4 Late Payment

Overdue invoices may incur interest at 1.5% per month or the maximum rate permitted by Thai law, whichever is lower. We reserve the right to suspend services for accounts more than 60 days overdue.

7. Intellectual Property

7.1 Our Work Product

Upon full payment, you receive a non-exclusive license to use legal documents, opinions, and other work product prepared specifically for your matter. We retain ownership of:

  • Legal research methodologies and analysis frameworks
  • Template documents and forms
  • Internal memoranda and work files

7.2 Website Content

All website content, including text, graphics, logos, and software, is our property or licensed to us. Unauthorized reproduction or distribution is prohibited.

8. Confidentiality

We maintain strict confidentiality in accordance with Thai Lawyers Council professional conduct rules and attorney-client privilege. Client information is protected as detailed in our Privacy Policy.

You acknowledge that we may use anonymized case examples for training, marketing, or professional development purposes, with all identifying information removed.

9. Conflicts of Interest

We conduct conflict checks before accepting engagements. You agree to promptly disclose any relationships or circumstances that might create conflicts. If a conflict arises during representation, we will notify you and may need to withdraw from the matter.

10. Disclaimers

10.1 No Outcome Guarantees

Legal services are provided on a best-efforts basis. We cannot and do not guarantee specific outcomes in regulatory matters, negotiations, or disputes. Past results do not indicate future performance.

10.2 Legal Advice Disclaimer

Website content and general communications are for informational purposes only and do not constitute legal advice. Attorney-client relationship is established only through signed engagement letter.

10.3 Third-Party Services

When we engage third-party services (co-counsel, experts, translators) on your behalf, we act as facilitator. We are not liable for their performance, though we use reasonable care in selection.

11. Limitation of Liability

To the maximum extent permitted by Thai law and professional conduct rules:

  • Our liability for any claim is limited to fees paid for the specific matter giving rise to the claim
  • We are not liable for indirect, consequential, or punitive damages
  • Claims must be brought within one year of the matter's conclusion

These limitations do not apply to liability arising from willful misconduct or gross negligence.

12. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

  • Your breach of these terms
  • Inaccurate or incomplete information you provide
  • Your violation of applicable laws or regulations
  • Your use of our services for unlawful purposes

13. Termination

13.1 By Client

You may terminate our services at any time with written notice. You remain responsible for fees and expenses incurred through the termination date.

13.2 By Us

We may withdraw from representation if:

  • Payment obligations are not met
  • Client fails to cooperate or follow reasonable instructions
  • Continued representation would violate professional conduct rules
  • Client engages in fraudulent or unlawful conduct

We will provide reasonable notice and assist in transition to new counsel where professionally appropriate.

13.3 File Retention

Upon termination, we retain file copies as required by professional regulations. You may request copies of documents, subject to payment of outstanding fees.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Thailand. The Thai Lawyers Council professional conduct rules apply to our services.

14.2 Jurisdiction

The courts of Bangkok, Thailand have exclusive jurisdiction over disputes arising from these Terms or our services.

14.3 Informal Resolution

Before initiating formal proceedings, parties agree to attempt good-faith resolution through direct discussion. If you have concerns about our services, please contact our managing partner first.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any engagement letter, constitute the entire agreement between parties regarding our services.

15.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full effect.

15.3 Waiver

Failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment

You may not assign your rights or obligations without our written consent. We may assign our obligations to successor firms with notice to you.

16. Changes to Terms

We may update these Terms periodically. Material changes will be communicated through website notice and email to active clients. The "Last Updated" date indicates when changes were made.

Continued engagement of services after changes constitutes acceptance of updated terms. Existing matters continue under terms in effect when engagement commenced unless otherwise agreed.
